RBC Daniels Advises Alltel in Divestiture Transactions
RBC Daniels advised Alltel in three separate divestiture transactions related to its merger with Western Wireless and one transaction related to its acquisition of Midwest Wireless. Alltel exchanged 15 cellular RSAs covering approximately 1,400,000 POPs in Kansas and Nebraska with U.S. Cellular for two Idaho RSAs and cash. Alltel sold the Cellular One brand to Dobson Cellular Systems. Alltel has also sold the MN-7, 8, 9 & 10 RSAs to Rural Cellular Corporation and AR-11 RSA to Cingular Wireless.
Alltel Acquires First Cellular of Southern Illinois
RBC Daniels represented First Cellular of Southern Illinois in its sale to Alltel. First Cellular's operations serve 485,000 POPs in IL-8 and IL-9.
Conterra Ultra Broadband Secures Private Financing
Conterra Ultra Broadband, Inc., a national provider of high speed, high capacity broadband transport services, primarily in suburban and rural markets areas, received a $40 million senior secured credit facility. RBC Daniels acted as Co-Lead Placement Agent with RBC Capital Markets.
Verizon Acquires Ramcell Operations
Ramcell has sold certain wireless assets and operations to Verizon Wireless. The sale represents 574,000 POPs in the KY-6 (B1), KY-11 and OR-5 RSAs. RBC Daniels represented Ramcell in the transaction.
RBC Daniels Represents IPWireless in Spectrum Sales
IPWireless has sold its interests in broadband wireless spectrum in Las Vegas, NV, Greensboro, NC and New York City. The spectrum covers approximately 8.5 million households and 22 million POPs in the BRS (fka. MMDS/ITFS) 2.5-2.7 GHz spectrum.
Verizon Wireless Acquires West Virginia Wireless
Verizon Wireless has acquired the operating assets of West Virginia Wireless from Key Communications. The sale represents 1.2 million POPs in West Virginia, Kentucky, Ohio and Virginia. RBC Daniels represented Key Communications in the transaction.
SkyTel Acquired by Bell Industries
Bell Industries has acquired substantially all of the assets of SkyTel Corp., a nationwide, provider of wireless messaging services, from Verizon Communications. RBC Daniels represented SkyTel in the transaction.
